1.Purpose.The Parties anticipate exchanging information and material during discussions,negotiations or dealings between the Parties,or their respective Representatives (as defined below),relating to a potential business opportunity as described below (the “Purpose”).Some or all of the information and material to be disclosed may be confidential and/or proprietary to the Disclosing Party (as defined below) and as such,the parties wish to protect and preserve the confidential and/or proprietary nature of such disclosed information and material.As used herein,“Representatives” means,collectively,the controlled affiliates of each of the Parties,as the case may be,and the respective officers,directors,employees,members,financial advisers,lenders,accountants,attorneys,agents,and controlling persons of each of the Parties,as the case may be,or their controlled or controlling affiliates.The Purpose is more particularly described as follows:
2.Confidential Information.The “Confidential Information” of each party shall mean information disclosed by such party (the “Disclosing Party”) to the other party (the “Recipient”) in connection with the Purpose,even if before the Effective Date,including,but not limited to,records,data,facts,knowledge,know-how,trade secrets,devices,formulas,methods,processes and techniques which relate to Disclosing Party’s business,customers,suppliers,employees,operations,technology,business methods and products,which:
(a) is in written,electronic,photographic,or other tangible form;
(b) is provided orally or visually and summarized in writing within thirty (30) days of its disclosure,and which is marked “Confidential”,“Proprietary”,“Private”,or in any other manner indicating its confidential and/or proprietary nature;
(c) is known by Recipient as being treated as confidential by the Disclosing Party; or
(d) from all relevant circumstances should reasonably be determined by Recipient to be confidential.
3.Termination.This Agreement shall terminate the earlier of six (6) months from the Effective Date or when terminated by either party upon not less than two (2) weeks prior,written notice to the other; provided,however,the obligations of Recipient with respect to Disclosing Party’s Confidential Information received prior to the effective date of termination shall survive any such termination for a period of 3 years following the date of termination.
