10.2 Director and Officer Liability andIndemnification.
(a) For a period of six (6) years from and
after the Closing Date,each of Purchaser and the Nominee and their respective
successors and assigns shall indemnify,defend and hold harmless each of the
present and former directors,officers,employees and agents of Seller and the
Nominee (each,a “Seller Indemnified Party”) against any and all liabilities,
obligations,damages,judgments,losses,demands,claims,actions,causes of
action,costs,penalties,fines,interest and expenses (including,without
limitation,reasonable fees and disbursements of counsel and other
professionals (including relating to investigation)) arising out of actions or
omissions arising out of the Seller Indemnified Party’s service as a director,
officer,employee or agent of the Nominee to the fullest extent permitted or
required under applicable law,whether or not the indemnifying party is insured
against any such matter.
(b) For a period of six (6) years after the
Closing Date,Purchaser shall not,and shall not permit the Nominee to,amend,
repeal or modify any provision in the Nominee’s certificate of incorporation,
articles of association,memorandum of association or bylaws (or other
organizational documents) relating to the exculpation or indemnification of any
officers,directors,employees and agents (unless required by law),it being
the intent of the parties that the officers,directors,employees and agents of
the Nominee shall continue to be entitled to such exculpation and
