[5] REPRESENTATIONS AND WARRANTIES OF THE CUSTOMER
The Customer represents and warrants that:
a.It has the authority and capacity to enter into this Agreement,and that this Agreement constitutes valid and binding obligations,fully enforceable upon it in accordance with its terms and conditions;
b.By entering into this Agreement with the Bank,it has not violated,and will not violate,any applicable law or regulation or any agreement to which it is or may be bound;
c.It has secured and will continue to maintain in full force and effect all necessary approvals,consents,licenses,and permits required by law or regulation to be maintained in order to be bound under this Agreement; and
d.It has good and sufficient funds to cover each and every application made for the issuance of Corporate Cheques,and that it has not been subjected to,and is not currently under,any insolvency proceedings or receivership or other similar proceedings.
[6] MISCELLANEOUS PROVISIONS
6.1 The parties acknowledge that the respective rights and obligations of the parties under this Agreement shall be exclusively governed by and subject to the laws of [state the local law] and the internal rules and regulations of the Bank regarding the issuance and payment of cheques in general.
6.2 The declaration by final judgment of any provision under this Agreement as being invalid or unenforceable shall not affect the validity or enforceability of the remaining provisions.
6.3 The failure or delay by the Bank in insisting upon the performance of any term,condition,obligation or covenant under this Agreement,or to enforce any right,remedy or privilege thereunder,shall not be construed as a waiver thereof,nor preclude the Bank from insisting or enforcing such obligation or right.
