Debbie,a professional hairdresser runs a small hairdressing salon in a Melbourne suburb.She is approached by Mike,CEO of ‘All that’s Hair’ Pty Ltd (‘AH’) to discuss the opportunity to be engaged as Manager and Stylist at AH’s exclusive hair salon in Toorak.Debbie said she would consider Mikes offer on the following terms:“If I were to take this role,I would like to continue running my Salon in addition to managing AH’s outlet in Toorak,I also request payment of a weekly salary regardless of sales,and in addition,freedom to order hair products from companies nominated by me as required for the salon’s business”.These terms were included in the contract between Debbie and AH.Both hair salons have now become very successful.For some reasons,the relationship between Debbie and Mike deteriorate.Mike writes a letter to Debbie stating:“All that’s Hair will no longer pay a weekly salary but a commission calculated on the basis of the number of clients you personally introduce to the salon”.Debbie is furious and considers her options.

1.whether the contract between two parties is valid.
2.whether M was in breach of the contract.
for the first question, M approached D providing an opportunities to work in his company(AH), which is an invitation to treat.then D requested several additional terms. M accepted and provided an offer. in turn, D accepted the offer given by M. here both of the parties were legally capable of contracting. Besides, they were serious and had intention to create a legal relation. So the contract was concluded and valid.
M wrote a letter to D that stated to change the terms in the contracted, which was previously agreed by both parties. therefore, it was unlawful for M to change the terms in the contract and there is a breach of contract.
In this situation, D can sue M breach of contract and claim losses.
